Terms of Service

These Terms of Service (“Terms”) govern access to and use of Quote Recovery, including its website, application, integrations, communications features, and related services (the “Service”). The Service is operated by Leard Innovation & Development LLC (“Quote Recovery,” “we,” “us,” or “our”). By creating an account, purchasing a subscription, or using the Service, you agree to these Terms.

1. The Service

Quote Recovery provides software designed to help service businesses organize quotes and estimates, manage follow-up activity, communicate with customers, track outcomes, and measure recovered revenue. Features may change as the product develops.

2. Business Use

Quote Recovery is intended primarily for legitimate business use. You may use the Service only for lawful business activities and only in connection with customers or prospects whom you are legally permitted to contact.

3. Accounts

You must provide accurate account information and maintain the security of your credentials. You are responsible for controlling access to your workspace, removing access when it is no longer appropriate, ensuring authorized users comply with these Terms, and notifying us if you believe an account has been compromised.

4. Customer Data

You retain your rights in information you submit to Quote Recovery. You grant us a limited right to host, process, transmit, copy, and otherwise use that information solely as reasonably necessary to provide, secure, maintain, and improve the Service. You represent that you have the necessary rights and lawful basis to submit and use customer information through Quote Recovery.

5. Customer Communications and Consent

You are responsible for determining whether you have the legal right and any required consent to contact each recipient. You agree to comply with applicable communications and marketing laws, regulations, carrier requirements, and industry rules, and to honor valid opt-out requests.

You may not use Quote Recovery to send spam, contact individuals without legally required permission, send fraudulent or misleading communications, conceal the identity of the sending business, circumvent opt-outs, upload purchased or unlawfully obtained contact lists, or engage in unlawful telemarketing.

6. Quo Integration

If you connect a Quo account, you authorize Quote Recovery to use that connection to perform actions you request through the Service. Your Quo account remains subject to your agreement with Quo. You are responsible for maintaining your Quo account, business telephone number, carrier registrations, compliance obligations, and credentials.

7. Email Delivery

Quote Recovery may use third-party email delivery infrastructure such as Resend. Delivery is not guaranteed. Messages may be delayed, rejected, filtered, blocked, or classified as spam by receiving systems.

8. AI-Assisted Suggestions

The Service may provide AI-generated suggestions, including suggested follow-up language. AI-generated content may be inaccurate or unsuitable for a particular customer. You are responsible for reviewing and approving any AI-generated content before relying on or sending it.

9. Subscriptions and Billing

Certain features may require a paid subscription. Unless otherwise stated at purchase, subscription fees are charged in advance, subscriptions renew automatically until canceled, prices may change upon prior notice, taxes may be added where required, and access to paid features may end when a subscription terminates. Any specific trial, founding-customer pricing, promotional pricing, or refund terms displayed at purchase will form part of these Terms.

10. Acceptable Use

You may not use the Service to violate law, infringe rights, send unlawful or deceptive communications, introduce malware, attempt unauthorized access, circumvent security controls, attack the Service, resell access without written authorization, facilitate fraud or harassment, or interfere with another customer's use of the Service.

11. Third-Party Services

Quote Recovery relies on third-party systems including Base44, Resend, Quo, and other infrastructure or technology providers. Third-party services are governed by their own agreements, and we do not control or guarantee their continued availability, functionality, or policies.

12. Intellectual Property

Quote Recovery and its software, interface, branding, design, documentation, and original content are owned by us or our licensors and are protected by applicable intellectual-property laws.

13. Feedback

If you voluntarily provide product suggestions or feedback, you permit us to use that feedback to improve Quote Recovery without restriction or compensation. This does not give us ownership of your customer data or confidential business records.

14. Service Availability

We work to keep Quote Recovery available and reliable, but we do not guarantee uninterrupted or error-free operation. Maintenance, outages, provider failures, security incidents, internet failures, telecommunications failures, or other events may temporarily affect access.

15. No Guarantee of Revenue or Results

Quote Recovery is a workflow and communications tool. We do not guarantee that customers will respond, quotes will be recovered, revenue will increase, a particular follow-up strategy will succeed, or AI suggestions will produce a particular outcome.

16. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” We disclaim warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

17. Limitation of Liability

To the fullest extent permitted by law, Quote Recovery and Leard Innovation & Development LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost opportunities, loss of goodwill, or loss of data. To the fullest extent permitted by law, our aggregate liability arising from or relating to the Service will not exceed the amount you paid to Quote Recovery during the 12 months immediately preceding the event giving rise to the claim.

18. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Quote Recovery and Leard Innovation & Development LLC from third-party claims, losses, liabilities, and reasonable expenses arising from your unlawful use of the Service, customer data you submit without proper authorization, communications you send through the Service, your violation of messaging or privacy laws, your violation of these Terms, or your infringement of another person's rights.

19. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe you materially violated these Terms, your use creates a security or legal risk, required fees remain unpaid, or your account is being used fraudulently or abusively.

20. Data After Termination

Following termination, access to your workspace may end. You are responsible for exporting information you need before closing your account. We may retain certain records when reasonably necessary for legal, security, fraud-prevention, backup, or business-record purposes.

21. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-law principles, unless applicable law requires otherwise.

22. Changes to These Terms

We may update these Terms from time to time. If a change materially affects your rights or obligations, we may provide notice through the Service, by email, or another reasonable method.
